Securing UAE Growth • Since 2014
Legal terms governing advisory engagements, tax consultancy, bookkeeping mandates, and company formation services with Chartered Growth Consultants – FZCO.
These General Terms and Conditions (“Terms”) govern the professional relationship between Chartered Growth Consultants – FZCO (“CGC”, “we”, “us”) and any individual, corporate enterprise, or legal entity (“Client”, “you”) who accesses our website (charteredgrowth.ae) or engages our corporate advisory, tax, bookkeeping, or company formation services.
Where a formal written Letter of Engagement (LoE), Service Level Agreement (SLA), or Proposal is executed between CGC and the Client, the specific terms of that LoE shall supersede these General Terms in the event of any direct conflict.
• “Advisory Services” refers to statutory tax registrations, corporate tax filings, VAT compliance, IFRS bookkeeping, external audit liaison, trade license formation, and economic substance filing performed by CGC.
• “FTA” refers to the Federal Tax Authority of the United Arab Emirates established pursuant to Federal Decree-Law No. 13 of 2016.
• “Work Product” includes memoranda, audit working papers, tax position papers, management accounts, and filings created by CGC in connection with the Engagement.
• “Applicable Laws” means all federal and local decrees, cabinet resolutions, and regulatory notices enforced within the United Arab Emirates.
CGC provides strategic business consulting, corporate structuring, accounting, and taxation support across the UAE and GCC. Services are delivered on a professional best-efforts basis based upon facts and documentation provided by the Client:
The accuracy, completeness, and timeliness of CGC’s advisory deliverables depend directly upon the records provided by the Client. The Client explicitly warrants that:
Under UAE Tax Procedures Law (Federal Decree-Law No. 28 of 2022), the taxable person (the Client) bears the ultimate statutory liability for the accuracy of all declarations submitted to the Federal Tax Authority (FTA) and for the timely settlement of any assessed tax liabilities, surcharges, or administrative penalties.
The Client must provide all required financial records, supporting invoices, and sign-offs at least 15 business days prior to any statutory FTA filing or payment deadline. CGC shall not be liable for any late penalties resulting from delayed client submissions.
CGC retains all intellectual property rights in its proprietary methodologies, computational templates, tax advisory frameworks, and pre-existing analytical models. Upon full settlement of all fees, the Client receives a non-exclusive, perpetual license to use the final delivered reports solely for its own internal business and statutory compliance purposes.
Both parties agree to treat all business, financial, operational, and commercial information disclosed during the engagement as strictly confidential. CGC will not disclose client secrets to third parties without prior authorization, except where mandated by statutory law, court subpoena, or formal audit requests from UAE government authorities.
As a designated corporate service provider in the UAE, CGC is subject to Federal Decree-Law No. 20 of 2018 on Anti-Money Laundering and Combating the Financing of Terrorism (AML/CFT). The Client agrees to submit all requested KYC, UBO, and source-of-funds verification. CGC reserves the unconditional right to terminate any engagement immediately and report suspicious transactions via the UAE GoAML portal where required by federal law, without incurring liability to the Client.
To the fullest extent permitted under UAE Law:
Either party may terminate an ongoing advisory engagement by providing thirty (30) calendar days written notice. CGC may terminate immediately if the Client fails to make scheduled retainer payments, engages in unlawful conduct, or breaches UAE AML/CFT regulations. Upon termination, all work performed up to the date of termination shall be billed and settled immediately.
These Terms and all related engagements shall be governed by and construed in accordance with the Federal Laws of the United Arab Emirates and the local laws of the Emirate of Dubai. Any dispute, controversy, or claim arising out of or relating to these Terms shall be submitted to the exclusive jurisdiction of the competent civil courts of Dubai, United Arab Emirates (unless the relevant LoE specifically stipulates DIFC Courts jurisdiction).
